1    Confidential Information
Our assignments involve the exchange of confidential information between our clients and ourselves. We undertake to treat all such information in the strictest confidence, and not to disclose any information to any third party without the prior written consent of the client. In turn, our clients undertake not to disclose any details of our assignments to a third party without our prior written consent
2    Results
Our professional advice is given in good faith and is based on the information given to us by our clients.
The application of our advice and the results generated involve factors outside our control. Whilst we endeavour always to give accurate estimates of the time required for our work and the expected results, such estimates cannot be deemed to be undertakings, warrantees, or contractual conditions.
3    Fees
Our fees cover the time spent on the assignment, whether the work is carried out at the client's premises or elsewhere, and our normal operating expenses related to the assignment.  Travel and subsistence expenses associated with assignments are an additional charge and will be based on business class air fares, first class travel, car mileage at 45 pence per mile and reasonable hotel costs.
Fees will be invoiced weekly and are payable together with the prevailing rate of VAT within seven days of invoice date.
We reserve the right to adjust the fees should this become necessary during the assignment, and we undertake to give not less than one month's notice of any such change.
4    Expenses
Where expenses are incurred, either at the request of the client, or with the client's prior approval., these expenses will be invoiced separately.
5    Additional work
Arrangements may be made for work to be done outside the terms of reference of the assignment, or for the period of assignment to be extended to cover additional work.  A separate quotation of the extra cost of such work will be provided.
6    Termination of Assignment
Any assignment may be terminated by either party giving one months notice in writing.
7    Additional Terms of Working
Any additional terms of working applicable to a particular assignment will be specified in the assignment proposal or quotation.
8    Liability
We shall not be liable to the client for any losses howsoever caused, including indirect or consequential losses, loss of revenue, anticipated profits and claims by third parties.
